Aurora Care End User License Agreement (EULA)
Ragaven LLC, d/b/a RagavenCare and AuroraCare
Effective Date: October 28, 2026
Last Updated: October 28, 2026
PLEASE READ THIS END USER LICENSE AGREEMENT ("EULA") CAREFULLY. AURORA CARE IS A GENERAL WELLNESS APPLICATION. IT IS NOT A MEDICAL DEVICE, IS NOT CLEARED OR APPROVED BY THE FDA, AND IS NOT A SUBSTITUTE FOR MEDICAL DEVICES, LABORATORY TESTS, CLINICAL CARE, CLINICAL VALIDATION, PROFESSIONAL MEDICAL ADVICE, OR EMERGENCY SERVICES. IT DOES NOT CONTACT 911.
This EULA is a legal agreement between you and Ragaven LLC, doing business as RagavenCare and AuroraCare ("Ragaven," "Licensor," "we," "us," or "our"), for the Aurora Care application software, including any updates, upgrades, documentation, and embedded third-party components (the "Licensed Application"). The Aurora Care Terms of Service ("Terms") and Privacy Policy are incorporated into this EULA by reference; if this EULA conflicts with the Terms regarding the license to the Licensed Application, this EULA controls.
By downloading, installing, or using the Licensed Application, or tapping "Agree," you accept this EULA. If you do not accept it, do not download, install, or use the Licensed Application.
Plain-Language Summary
This summary is for convenience; the full EULA below controls.
- Aurora Care helps you and the people you choose (your Angels) notice changes in general wellness readings so you can decide whether to talk to a doctor or other professional. It does not diagnose anything, it is not a medical device, and its readings are estimates that can be wrong.
- It is not an emergency service and it does not call 911. Alerts to your Angels are best-effort and might be late or never arrive. In an emergency, call 911.
- Aurora Care does not keep pictures or video of your face. A secret code made from your face stays on your iPhone, and is only copied to our cloud if you turn that on yourself. It is never shared with your Angels, never sold, and never used for ads.
- You can turn off features, remove Angels, export your data, and delete your account at any time in Settings.
- If your plan ends and no one renews it within 30 days after we first tell you, your account and its data are deleted. During those 30 days you can download your data or take over the plan. The Terms explain the details.
- You are licensed to use the app, not buying it. Please don't copy, reverse engineer, or misuse it.
1. Acknowledgement
You and Ragaven acknowledge that this EULA is concluded between you and Ragaven only, and not with Apple Inc. ("Apple"). Ragaven, not Apple, is solely responsible for the Licensed Application and its content. This EULA does not provide for usage rules that conflict with the Apple Media Services Terms and Conditions (the "Usage Rules") as of the Effective Date.
2. Scope of License
Subject to your compliance with this EULA and the Terms, Ragaven grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Licensed Application, for your personal, non-commercial wellness purposes, on any Apple-branded products that you own or control and as permitted by the Usage Rules. The Licensed Application may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing only as permitted by the Usage Rules. The Licensed Application is licensed, not sold. Ragaven and its licensors reserve all rights not expressly granted.
3. License Restrictions
You may not, and may not permit anyone else to: (a) copy, modify, translate, or create derivative works of the Licensed Application; (b) reverse engineer, decompile, disassemble, or attempt to derive the source code, algorithms, models, or underlying structure of the Licensed Application, except to the extent the law expressly permits it despite this restriction; (c) rent, lease, lend, sell, redistribute, sublicense, or transfer the Licensed Application; (d) remove, alter, or obscure any proprietary notices; (e) circumvent any security, licensing, or integrity feature; (f) use the Licensed Application to take readings of, or enroll the face of, anyone other than yourself; (g) use the Licensed Application as a medical device, for clinical diagnosis or decision-making, in clinical research, or to provide healthcare services to others; (h) use the Licensed Application to build a competing product; or (i) use the Licensed Application in violation of any law or the Terms.
4. Wellness Purpose; No Medical Advice
4.1 The Licensed Application is intended solely for general wellness purposes: to help you and the people you choose observe general wellness patterns and decide whether to seek advice from a qualified healthcare professional. It is not intended to diagnose, treat, cure, mitigate, monitor, or prevent any disease or condition and has not been cleared or approved by the FDA or any other regulator.
4.2 All readings, estimates (including pulse, breathing rate, heart-rate variability, stress, blood-pressure, and blood-oxygen estimates), risk estimates, trends, and notifications are software-generated estimates, not clinical measurements, and may be inaccurate, incomplete, or unavailable. They are not a replacement for medical devices, laboratory tests, clinical evaluation, or clinical validation. Do not use them to start, stop, or change any medication or treatment.
4.3 The Licensed Application is not an emergency or medical-alert service and does not contact 911 or emergency services. Alerts and Voice Help are best-effort and are not guaranteed to be sent, delivered, noticed, or acted on. In an emergency, call 911 or use your device's Emergency SOS feature.
4.4 The wellness and medical disclaimer, best-effort alert terms, and assumption of risk in Sections 3, 4, and 6 of the Terms apply to the Licensed Application and are incorporated here.
5. Biometric Data and Consent
5.1 What is created. With your permission, the Licensed Application creates a one-way mathematical face template from the front-camera image solely to (a) verify that the enrolled user is the person taking a reading and (b) recognize the enrolled user on that user's own devices. The face template is not a photograph or video, and the facial image cannot be reconstructed from it. Camera images are processed in real time and are not stored by the Licensed Application.
5.2 On-device by default. The face template is stored encrypted on your device.
5.3 Separate, optional cloud storage. An encrypted copy of the face template is stored in Ragaven's cloud only if you give separate, affirmative, written (electronic) consent through a dedicated in-app consent screen. Accepting this EULA does not by itself enable cloud storage of your face template. The option is off by default, and declining it does not limit any other feature.
5.4 Camera-signal processing by NuraLogix. When the NuraLogix (DeepAffex / Anura) engine is used, an encrypted facial blood-flow signal derived on your device — not images or video — is sent to NuraLogix Corporation to calculate wellness estimates, as described in the Privacy Policy.
5.5 No sale or disclosure. Ragaven will not sell, lease, trade, or otherwise profit from your biometric data, will not share your face template with Angels, and will not disclose it to anyone except as required by law or with your consent.
5.6 Retention and destruction. Biometric data is retained and permanently destroyed according to the schedule published in Section 8 of the Privacy Policy: at the earliest of withdrawal of consent, account deletion, or three (3) years after your last interaction with Aurora Care. You may withdraw consent and delete your face template at any time in Settings.
6. Consent to Data Use
You agree that Ragaven may collect, use, and share technical data and information about your device, system software, and use of the Licensed Application, together with the health, location, and other information described in the Privacy Policy, solely as described in the Privacy Policy, to provide, secure, support, and improve the Licensed Application.
7. Maintenance and Support
Ragaven is solely responsible for providing any maintenance and support services for the Licensed Application, as described in this EULA or as required by applicable law. You and Ragaven acknowledge that Apple has no obligation whatsoever to furnish any maintenance or support services for the Licensed Application. Support is available at support@ragavencare.com. Ragaven may, but is not obligated to, provide updates; some updates may be required to continue using the Licensed Application.
8. Warranty
8.1 To the maximum extent permitted by law, the Licensed Application is provided "AS IS" and "AS AVAILABLE," with all faults and without warranty of any kind, and Ragaven disclaims all warranties and conditions, express, implied, or statutory, including implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, quiet enjoyment, and non-infringement, as further set out in Section 14 of the Terms. No oral or written information or advice given by Ragaven or its representatives creates a warranty.
8.2 Ragaven is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the Licensed Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the Licensed Application to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Licensed Application, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Ragaven's sole responsibility, subject to the disclaimers and limitations in this EULA and the Terms.
9. Limitation of Liability
The limitations of liability, release, and exceptions required by law in Sections 6, 15, and 16 of the Terms apply to the Licensed Application and are incorporated here. To the maximum extent permitted by law, in no event will Ragaven or its licensors be liable for personal injury, illness, death, or any incidental, special, indirect, or consequential damages arising from or related to your use of or inability to use the Licensed Application, and Ragaven's total liability will not exceed the greater of the amount you paid for the Services in the twelve (12) months before the claim arose or one hundred U.S. dollars (US $100).
10. Product Claims
You and Ragaven acknowledge that Ragaven, not Apple, is responsible for addressing any claims by you or any third party relating to the Licensed Application or your possession and/or use of it, including: (a) product liability claims; (b) any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation, including in connection with the Licensed Application's use of the HealthKit and HomeKit frameworks. This EULA does not limit Ragaven's liability to you beyond what is permitted by applicable law.
11. Intellectual Property Rights
You and Ragaven acknowledge that, in the event of any third-party claim that the Licensed Application or your possession and use of it infringes that third party's intellectual property rights, Ragaven, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.
12. Legal Compliance
You represent and warrant that (a) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties. You will comply with all applicable export-control laws.
13. Third-Party Terms and Components
You must comply with applicable third-party terms of agreement when using the Licensed Application (for example, your wireless data service agreement). The Licensed Application includes software and services licensed from third parties, including NuraLogix Corporation and open-source components. Those components are provided "as is," without warranty from their licensors, and their licensors have no liability to you. Open-source components are subject to their own licenses, which are available on request at support@ragavencare.com, and nothing in this EULA limits your rights under those licenses.
14. Termination
This EULA is effective until terminated. Your rights under it terminate automatically, without notice, if you fail to comply with any of its terms. You may terminate it at any time by deleting the Licensed Application and your account. On termination you must stop using and delete all copies of the Licensed Application. If a subscription is not renewed, your account and its data are deleted after the 30-day grace period described in Section 8.5 of the Terms. Section 8 of the Privacy Policy lists the data we delete and the few records we keep. Sections 3 through 6 and 8 through 17 survive termination.
15. Governing Law and Disputes
This EULA is governed by the laws of the State of Oregon, excluding its conflict-of-law rules, and disputes are resolved under the dispute-resolution provisions (including binding individual arbitration, the class-action waiver, and the 30-day opt-out right) in Section 19 of the Terms. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
16. Developer Contact Information
Questions, complaints, or claims about the Licensed Application may be directed to:
Ragaven LLC, d/b/a RagavenCare and AuroraCare
Email: support@ragavencare.com
Privacy: privacy@ragavencare.com
17. Third-Party Beneficiary
You and Ragaven acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of this EULA, and that, upon your acceptance of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary.
18. Miscellaneous
If any provision of this EULA is held unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in full force. Ragaven's failure to enforce any provision is not a waiver. You may not assign this EULA; Ragaven may assign it in connection with a merger, acquisition, or sale of assets. This EULA, together with the Terms and the Privacy Policy, is the entire agreement between you and Ragaven regarding the Licensed Application.
Annex A. Additional text from the In-app End User License Agreement (proposed for counsel review)
The Aurora Care app shows its own End User License Agreement, consent version 2026-10-31-1. The sentences below appear in that in-app text but have no close match in this document. They are inserted as tracked changes so each can be accepted, reworded into the body above, or rejected. Where a sentence restates a commitment this document already makes in different words, rejecting it loses nothing.
Aurora Care — End User License Agreement
- Standalone EULA for the Aurora Care Application
Read This First
- This is the agreement between you and Aurora Care.
- Section 1 is a plain-language summary of what it says.
- The formal terms begin at Section 2, and they are what governs if the two ever differ.
- Three things you should know before you agree:
- Aurora does not call 911 and does not dispatch help.
- It does not diagnose, treat, or replace your doctor.
- That is a separate choice you make in Settings, and it is off unless you turn it on.
1. The Short Version
- Aurora uses your face so that only you can take your own health readings — a stranger cannot run a scan as you.
- It keeps a secret code made from your face — a one-way "fingerprint" that cannot be turned back into a photo.
- You decide whether Aurora also keeps a locked copy in your own private cloud space, so your face still works if you get a new phone.
- This is turned off unless you choose to turn it on, and the app works fully either way.
- You can turn it off and delete it at any time.
- You can ask an Angel to help you decide — or just leave it off.
- Aurora asks permission to share your location with your Angels so they can confirm you are safe.
- You set a home address and a safe zone.
- Your Angel is only alerted if you travel outside that zone.
- Routine movement inside it is never reported.
- You enter your home address after granting location access — Aurora never collects your address without your permission.
- Voice Help and alerts are best-effort.
- If enabled, saying your Voice Help phrase can ask Aurora to try to notify your linked Angels.
- Aurora does not call 911, does not dispatch emergency services, and does not guarantee that any Angel will see, hear, or respond to an alert.
- Notifications and text messages can be delayed, blocked, silenced, unavailable, or missed — because of device settings, Focus or Do Not Disturb, network coverage, carrier delivery, battery state, or platform behavior.
- For a life-threatening emergency, use your phone's emergency feature or call emergency services directly.
- Aurora is a helper, not a doctor.
- Always consult a qualified professional for medical decisions.
- Don't use its estimates or alerts to make treatment or medication decisions, or in place of professional medical care or an FDA-authorized medical device.
- You agree to these terms when you tap "Agree" and start using Aurora.
2. Definitions
- "Aurora," "we," "us," "our" — Ragaven LLC, an Oregon limited liability company, doing business as RagavenCare and AuroraCare.
- "App" — the Aurora Care mobile application, including all updates, and all supporting cloud services.
- "You," "your" — the individual who accepts this Agreement and uses the App.
- "Star" — the person whose health and safety Aurora helps monitor, typically an older adult.
- "Angel" — a family member, friend, or caregiver whom a Star has invited and linked to their account, who receives alerts and may view information the Star has shared.
- Earlier Aurora documents and parts of the codebase use the word "Guardian" for this same role.
- "Care link" — the explicit, revocable connection between a Star's account and an Angel's account that authorizes information sharing.
- "Face template" — the one-way mathematical representation derived from a Star's face, described in Section 5.
- "Terms of Service" — the Aurora Care Terms of Service, as updated from time to time.
3.1 Acceptance
- By tapping "Agree," or by downloading, installing, or using the App, you accept this Agreement and the Privacy Policy.
- Creating an account or signing in also constitutes your acceptance of this Agreement and the Privacy Policy.
- Aurora records your acceptance, including the version of this Agreement and the date and time of acceptance.
3.2 Biometric consent is separate and additional
- That requires a separate, affirmative opt-in described in Section 5.4.
- Section 5 governs it, and nothing in this Agreement should be read as consent to it.
3.4 How this Agreement fits with the Terms of Service and Privacy Policy
- This Agreement governs your license to use the App and the terms specific to Aurora's biometric, health, location, and alerting features.
- The Terms of Service govern your subscription and your use of the broader Aurora Care service.
- If a conflict arises between this Agreement and the Terms of Service, this Agreement controls with respect to the App license, biometric data, alerting, and location features; the Terms of Service control on all other matters.
- If either conflicts with the Privacy Policy on how information is handled, the Privacy Policy controls.
3.5 General wellness notice; not FDA-cleared; not an emergency monitoring service
- Do not use its estimates or alerts to make treatment or medication decisions, or in place of professional medical care or an FDA-authorized medical device.
4.1 License
- Subject to your compliance with this Agreement, Aurora grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use one copy of the App on an Apple-branded device that you own or control, solely for your own personal, non-commercial use, in accordance with the Apple App Store Terms of Service and the Usage Rules in Apple's Media Services Terms and Conditions.
- This is a license, not a sale.
- Aurora and its licensors retain all right, title, and interest in and to the App.
4.2 Restrictions
- You may not, and may not permit anyone else to:
- Copy, modify, adapt, translate, or create derivative works of the App;
- Reverse engineer, decompile, disassemble, or attempt to derive the source code, algorithms, or underlying structure of the App, except to the extent this restriction is prohibited by applicable law;
- Rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the App or your account;
- Remove, obscure, or alter any proprietary notice;
- Use the App to build a competing product or service, or to benchmark it for that purpose;
- Circumvent, disable, or interfere with security, authentication, rate-limiting, or access-control features, including the face-verification and care-link authorization mechanisms;
- Access accounts, systems, or data without authorization, including another person's Star or Angel account;
- Attempt to record vital signs on behalf of, or while impersonating, another person;
- Represent the App as a medical device, a diagnostic tool, an emergency response service, or a substitute for professional medical care or trained emergency personnel.
4.3 Updates
- Aurora may provide updates, upgrades, and patches.
- This Agreement governs any update unless it is accompanied by its own license terms.
- Aurora may require you to install an update in order to continue using the App, and may discontinue support for older versions.
4.4 Intellectual property
- The App, including its software, models, algorithms, text, graphics, logos, interface design, and documentation, is owned by or licensed to Aurora and protected by copyright, trademark, patent, trade secret, and other laws.
- Feedback you provide about the App may be used by Aurora without restriction or obligation to you.
4.5 Your content
- You grant Aurora a limited, non-exclusive license to host, process, store, display, and transmit that information solely to provide and improve the Service, to enable the sharing you have authorized, to comply with law, and to maintain security.
- This license ends when you delete the content or your account, except as described in the Privacy Policy's retention section.
5. Face Recognition and Biometric Data
- This section governs the most sensitive information Aurora handles.
- It is drafted to be read alongside Section 5 of the Privacy Policy, which describes the same practices in data-handling terms.
5.1 What is collected
- With your authorization, Aurora generates a face template: a one-way mathematical representation derived from your face, approximately 256 numerical values.
- Recognize the enrolled Star across devices that Star owns.
5.2 Not used for identification by others
- It is never used to identify you to any other person, to match you against any external database, or to profile you.
5.4 Cloud storage — affirmative, opt-in, off by default
- The setting is off by default.
- It is presented in Settings, never during onboarding.
- Account setup is never blocked on it.
- Declining or ignoring it leaves the template on your device only, and all App functionality remains available.
- Aurora's servers refuse to store a face template unless an active consent record exists for your account.
5.5 Consent is informed and revocable
- Before you enable cloud storage, Aurora shows you a plain-language explanation and a link to the Privacy Policy.
- Deleting your account also deletes it from both locations.
- Aurora records each consent and withdrawal in an append-only consent ledger.
5.6 Angel-assisted decision
- A Star who wants help deciding may ask a linked Angel to review the choice with them.
5.8 Security
- The face template is encrypted at rest using an AWS Key Management Service customer-managed key dedicated to health and biometric data, encrypted in transit using TLS 1.3 with certificate pinning, and scoped to your account.
6. Health Information
- Aurora processes health-related information, including vital signs measured on your device, lab and cholesterol values you enter, medications you enter, fall and inactivity events, optional location for the Safe Zone feature, and Apple Health data you permit Aurora to read.
- How this information is collected, used, shared with Angels through a care link, retained, and deleted is described in the Privacy Policy, which is incorporated into this Agreement.
- Read Section 4 of the Privacy Policy before agreeing — it is the authoritative statement of what leaves your device and what an Angel can see.
7. Alerts, Voice Help, and the Absence of Any Emergency Guarantee
- This is the most important limitation in this Agreement.
7.1 What Aurora attempts
- Aurora may monitor selected health and safety triggers, including vital-sign threshold breaches, safe-zone departures, inactivity, fall detection, heart-rate excursions, and Voice Help requests where enabled.
- When a trigger fires, Aurora attempts to notify linked Angels through available channels — push notification, in-app alert, and SMS fallback where configured.
7.2 Best-effort only; no guarantee of delivery or response
- Aurora does not guarantee that any Angel's device will receive, display, sound, vibrate, wake, or break through silent mode, Focus, Do Not Disturb, Notification Summary, low power mode, poor network coverage, carrier delay, platform outage, or any other device or platform condition.
- Aurora also does not guarantee that any Angel will see, hear, acknowledge, or respond to an alert.
- Aurora does not guarantee that any monitored condition will be detected.
- Vital-sign measurements taken through the App are estimates produced by camera-based measurement and may be inaccurate, incomplete, or unavailable.
7.3 Not an emergency service
- Do not rely on Aurora to summon help.
7.4 Your responsibility to configure and maintain
- You are responsible for configuring your alert triggers and thresholds, keeping your device charged and connected, keeping notification permissions enabled, and maintaining accurate Angel contact information.
- Declining or disabling notifications may prevent alerts from being delivered or noticed.
- A Star may review and change triggers in Settings; Stars and Angels may change notification permissions in device settings.
7.5 Angel acknowledgement
- An Angel who installs Aurora is informed during enrollment that alerts are best-effort, may arrive at any hour, and are not guaranteed to be delivered or acknowledged.
- By linking to a Star's account as an Angel, you acknowledge that you are not being engaged as an emergency responder and that Aurora makes no commitment on your behalf to any Star.
8. Location Sharing and the Safe Zone
- With your permission, Aurora collects your device location so that linked Angels can confirm you are safe.
- Location sharing is required for the Safe Zone feature and is otherwise optional.
- Aurora uses it to define a safe zone.
- An Angel is alerted only if you travel outside that zone.
- Routine movement within the zone is never reported to Angels.
- Location access requires you to tap "Enable Location Access" and to grant iOS system-level permission.
- Aurora does not collect location in the background without that grant, and your home address is entered by you only after permission is granted.
- Location data and your home address are shared with your linked Angels solely for safety monitoring.
- They are not sold, not used for advertising, and not shared with third parties beyond your Angel network.
- You may update or remove your home address and safe zone at any time in Settings, and may revoke location permission entirely.
- Removing the safe zone stops location-based Angel alerts.
9. Angel Accounts and Care Links
- An Angel obtains access to a Star's information only through a care link the Star created.
- A Star may revoke a care link at any time, which immediately ends the Angel's access to Aurora's servers for that Star's account.
- (a-1) Information already on the Angel's device.
- The Aurora app on an Angel's phone keeps a local copy of the Star's recent information so it can be displayed offline.
- Revoking a care link, and deleting a Star's account, do not remove that local copy.
- It is removed when the Angel deletes the Aurora app or clears its data.
- An Angel who is asked by a Star to remove it agrees to do so promptly.
- This is described further in Section 11.3 of the Privacy Policy.
- (b) What an Angel may do.
- An Angel may view information the Star has shared and may propose changes — such as adding, changing, or stopping a medication.
- You agree not to use Aurora to monitor any person who has not knowingly linked to you.
- Aurora does not appoint Angels, verify their identity or relationship to a Star, or supervise their conduct.
10. Subscription, Fees, and App Store Terms
- Aurora is offered on a subscription basis.
- Fees, billing period, and renewal terms are disclosed at the point of purchase.
- Purchases made through the Apple App Store are processed by Apple and governed by Apple's terms.
- You authorize Aurora and its payment processors to charge applicable fees and taxes to your selected payment method.
- Aurora may change subscription pricing on notice, effective at the start of the next billing period.
11. Apple-Specific Terms
- This Agreement is between you and Aurora only, not with Apple.
- Apple has no obligation to furnish maintenance or support.
- To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.
- Aurora, not Apple, is responsible for addressing any claim relating to the App, including product liability claims, claims that the App fails to conform to a legal or regulatory requirement, and claims arising under consumer protection or privacy law.
- Aurora, not Apple, is responsible for the investigation, defense, settlement, and discharge of any third-party claim that the App infringes intellectual property rights.
- Apple and its subsidiaries are third-party beneficiaries of this Agreement and, upon your acceptance, have the right to enforce it against you.
12. Medical Disclaimer
- Vital-sign values, trends, and risk indications shown in the App are estimates for general wellness and informational purposes only.
- They may be incomplete, inaccurate, outdated, or unsuitable for your circumstances.
- They are not a clinical measurement and must not be used to make a medical decision.
- Always consult a qualified healthcare professional for diagnosis, treatment, and medical decisions.
- Any medication information you enter is a personal record; Aurora does not verify it and does not provide pharmaceutical advice.
13. Disclaimer of Warranties
- TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND.
- AURORA DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT ANY MEASUREMENT WILL BE ACCURATE; THAT ANY CONDITION WILL BE DETECTED; OR THAT ANY ALERT WILL BE GENERATED, DELIVERED, RECEIVED, OR ACTED UPON.
- Nothing in this Agreement limits any non-waivable statutory right you may have as a consumer.
14. Limitation of Liability
- (a) AURORA, ITS MEMBERS, OFFICERS, EMPLOYEES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE APP, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- (b) WITHOUT LIMITING SUBSECTION (a), AURORA WILL NOT BE LIABLE FOR ANY INJURY, HARM, OR LOSS ARISING FROM: A FAILURE TO DETECT A HEALTH OR SAFETY CONDITION; A FAILURE TO GENERATE, DELIVER, OR TIMELY DELIVER AN ALERT; AN ANGEL'S FAILURE TO RECEIVE, NOTICE, OR RESPOND TO AN ALERT; THE INACCURACY OF ANY MEASUREMENT OR ESTIMATE; OR ANY ACT OR OMISSION OF AN ANGEL, A CARRIER, A DEVICE MANUFACTURER, OR A THIRD-PARTY PLATFORM.
- (c) AURORA'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE APP WILL NOT EXCEED THE GREATER OF [THE AMOUNTS YOU PAID TO AURORA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM] OR [ONE HUNDRED U.S.
- (d) These limitations do not apply to liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence where such exclusion is prohibited, fraud, or willful misconduct.
15. Indemnification
- You agree to indemnify, defend, and hold harmless Aurora and its members, officers, employees, and agents from and against any claim, demand, loss, liability, damage, cost, or expense (including reasonable attorneys' fees) arising out of or relating to: your misuse of the App; your violation of this Agreement; your violation of any law or the rights of any third party; or, if you are an Angel, your use or disclosure of a Star's information other than as permitted by Section 9.
- This section does not apply to the extent a claim arises from Aurora's own negligence or willful misconduct, and does not require you to indemnify Aurora against a claim you bring in good faith.
16. Term, Suspension, and Termination
- This Agreement takes effect when you accept it and continues until terminated.
- Aurora may suspend or terminate your license and access if you materially breach this Agreement, if your use creates risk or legal exposure, or if Aurora discontinues the App.
- Where practicable and not prohibited, Aurora will give notice and an opportunity to cure.
- Deletion of your account and information is governed by the Privacy Policy.
17. Dispute Resolution
- The clause below is drafted as an informal-resolution-first provision with an arbitration agreement and class-action waiver.
- Counsel should decide whether to include arbitration at all, given that Aurora's users are older adults and that enforceability of consumer arbitration against this population, in Oregon and in target launch states, warrants specific analysis.
- Aurora may reasonably conclude that court jurisdiction under Section 18 alone is the better posture.
- (b) Arbitration. [IF RETAINED] Any dispute not resolved informally will be settled by binding individual arbitration administered by [administrator] under its [consumer arbitration rules], in [county], Oregon, or by remote hearing at your election.
- Aurora will pay arbitration filing and administrative fees for claims under [$10,000].
- (c) Small claims and injunctive relief.
- (d) Class action waiver. [IF RETAINED] Disputes will be resolved only on an individual basis.
- Neither party may bring a class, collective, or representative action.
- (e) Opt-out. [IF RETAINED] You may opt out of subsections (b) and (d) by notifying Aurora in writing within [thirty (30) days] of first accepting this Agreement.
